Abstract Menadžersko ukopavanje je interesantno područje za istraživanje u sklopu korporativnog upravljanja. Predstavlja strategije i taktike kojim se menadžeri služe kako bi ojačali svoju moć i zaštitili svoju poziciju. Za ukopavanje koriste se različitim strategijama i taktikama kao što su utjecanje na upravne ili nadzorne odbore, izgradnja dobrih odnosa sa postojećim dioničarima, zaposlenicima, dobavljačima, kupcima, javnošću i drugim interesno-utjecajnim skupinama. Menadžeri interveniraju u vlasnički kapital kako bi osnažili svoju poziciju, akumulirajući vlastite dionice ili omogućavaju kupnju dionica investitorima koji su mu prijateljski naklonjeni. Važna strategija ukopavanja je i razvoj posebnih znanja i vještina menadžera, odnosno usmjeravanje rasta poduzeća u smjeru koji je konzistentan s njegovim vještinama. Od neprijateljskog preuzimanja se štite strategijama bijelih i sivih vitezova, ESOP strategijom, strategijom otrovne pilule ili strategijom krunskog dragulja. Rezultati istraživanja ukazuju na prisutnost menadžerskog ukopavanja u Republici Hrvatskoj, odnosno primjenu strategija ukopavanja, osobito izgradnju dobrih odnosa s dioničarima, razvoj menadžerskih znanja i vještina, akumulaciju dionica od strane investitora koji su prijateljski naklonjeni menadžeru i razvoj odnosa s dobavljačima, kupcima i drugim interesno-utjecajnim skupinama. Temeljem istraživanja zaključeno je da strategije obrane od neprijateljskog preuzimanja nisu česta pojava u Republici Hrvatskoj, a izgradnja odnosa s dioničarima istaknula se kao najučinkovitija strategija ukopavanja. Menadžeri većinom smatraju da strategijama ukopavanja ne utječu negativno na poslovanje poduzeća.
Abstract (english) Managerial entrenchment is an interesting area of corporate governance research. It presents the strategies and tactics that managers use to strengthen their power and protect their position. Various strategies and tactics are used for the entrenchment, such as influencing boards of directors or Supervisory Board, building good relationships with existing shareholders, employees, suppliers, customers, the public, and other interest-affecting groups. Managers are intervening in equity to strengthen their position, accumulating their own shares or allowing them to buy shares from investors who are friendly to him. An important entrenchment strategy is to develop the specific knowledge and skills of the manager, in effect to direct the growth of the company in a direction that is in line with his skills. White and Gray Knights, ESOP Strategy, Poison Pill Strategy, or Crown Jewels Strategy protect against enemy takeovers. The results of the research indicate the presence of managerial entrenchment in the Republic of Croatia, in effect implementation of a entrenchment strategy, especially building good shareholder relations, developing managerial knowledge and skills, acquiring stocks from investors who are friendly to the manager and developing relationships with suppliers, customers and other interests-influential groups. Based on the research, it was concluded that defense strategies against hostile takeovers were not a common occurrence in the Republic of Croatia, and building relationships with shareholders stood out as the most effective entrenchment strategy. Basically, managers believe that their entrenchment strategies do not adversely affect the business of the company.
