Given that the company is a legal person and as such they are only existing in a legal sense, for their proper manifestation of the will, the acquisition of rights and obligations is necessary for them to give statements to the authorized natural persons - their authorized representatives. In doing so, one accepts the fiction that the actions of professional representatives are attributed as the actions of the company. The aim of this paper is to investigate the role of representation in various forms of companies, as well as the general character of the representation. For this purpose, a survey was conducted on specific companies within the applicable legal regulations of the Republic of Croatia. This paper examines who is the individual authorized to represent the company, what it can be, what are the rights, duties and powers of the person who represents the company. This research led to the conclusion that the representation is, in fact, acting before third parties in the name and on behalf of the company, and that it is nevertheless important for the company by the fact that authorized representatives represent company before state authorities as well.
